SEC raises red flags as Dangote Refinery IPO opens, warns investors against fake platforms, unauthorised payment channels

MON SEPT 14 2026-theGBJournal| The Securities and Exchange Commission (SEC) has issued a cautionary advisory to investors as the Dangote Refinery Initial Public Offering (IPO) opens, urging prospective subscribers to exercise extreme caution and ensure that all applications and payments are made only through officially designated and approved agents, subscription channels and platforms.

The warning comes as strong public interest in the offer could create opportunities for fraudsters and unauthorised operators to impersonate approved intermediaries, create fake subscription platforms or solicit funds from investors outside the approved offer process.

We note SEC’s message is significant for investors because participation in an IPO involves the provision of personal and financial information and the transfer of funds.

The regulator is therefore seeking to ensure that investor enthusiasm does not translate into exposure to fraudulent schemes, identity theft, loss of funds or purported promises of preferential allotment.

The SEC said:
The public is hereby advised to exercise caution and ensure that all applications and payments relating to the Dangote Refinery IPO are made only through the officially designated and approved agents, subscription channels and platforms.

Prospective investors are specifically advised to:
1. Obtain information about the IPO from the official channels, the issuer’s official channels, and other official channels established and approved for the IPO.

2. Verify the authenticity of any website, platform or link before providing personal or financial information.

3. Follow only the officially announced subscription/application process and IPO timetable.

4. Avoid transferring funds to any entity or person claiming to receive application/subscription funds outside the approved channels.

5. Verify that their chosen capital market operator’s channels/platforms for the offer are duly authorised and approved.

6. Avoid responding to unsolicited calls, WhatsApp messages, social media advertisements, emails, or other channels/platforms that offer or guarantee allotments or preferential allocation.

7. Carefully read the approved prospectus and understand the terms, conditions and risks associated with the investment before making any subscription.

The SEC reiterates that the existence of any individual company, digital platform or social media account does not, by itself, constitute approval or authorisation to receive applications or funds from investors in respect of the offer.

Prospective investors are therefore further advised to contact SEC-registered stockbrokers, banks, or registered investment advisers for guidance.

Analysts tell the G&B Journal that the regulator’s intervention effectively places investor protection and verification at the centre of the Dangote Refinery IPO process.

“With the offer attracting considerable attention, investors are being reminded that a platform’s online presence, corporate identity or social-media activity should not be interpreted as evidence that it is authorised to collect subscription funds”

The SEC’s advice also underscores an important capital-market principle: investors should independently verify the intermediary and subscription route before committing funds, rather than relying on unsolicited investment offers or promises of guaranteed allocations.

“For prospective subscribers, the safest approach is therefore to rely on the approved prospectus, official IPO channels and authorised capital-market operators, while treating unsolicited offers, payment requests and claims of preferential allocation with particular caution,” market watchers said.
