…Africa’s largest refinery pushes IPO closing date to 27 October following SEC approval, giving investors additional time to complete applications as cross-border participation gathers momentum

By Charles IKE-OKOH

MON OCT 12 2026-theGBJournal| Dangote Petroleum Refinery and Petrochemicals FZE has extended the application period for its initial public offering (IPO) by two weeks, moving the closing date from 13 October to 27 October 2026, following approval from the Securities and Exchange Commission (SEC).

The extension, announced in a formal notice to investors, comes as the refinery reports strong interest in the offer from eligible investors across Africa and other jurisdictions.

It also provides additional time for prospective subscribers to complete account-opening procedures, identity verification and other regulatory requirements necessary to participate in the share sale.

The offer, which opened on 14 September 2026, comprises 4.1 billion ordinary shares priced at ₦525 each, placing the total offer value at approximately ₦2.1525 trillion.

The proposed transaction represents a significant capital-markets development for Nigeria, offering investors an opportunity to acquire an equity interest in one of the continent’s most strategically important industrial assets.

The extension is intended to broaden participation in the offer, particularly among investors outside Nigeria, while allowing additional time for distribution channels and cross-border investment arrangements to support subscriptions across African markets.

A larger window for investors
In its notice, Dangote Petroleum Refinery and Petrochemicals said the decision to extend the application period followed strong investor engagement since the launch of the offer.

The company said the additional time would support ongoing efforts to widen market access across African jurisdictions, including the expansion of distribution channels and the implementation of depositary receipt programmes designed to facilitate cross-border investment.

The extension is also expected to give prospective investors more time to satisfy the administrative and regulatory conditions associated with participation.

These include opening the relevant investment accounts, completing identity verification and fulfilling applicable compliance requirements.

The company’s stated objective is to make the offer accessible to a broader pool of eligible investors, rather than limiting participation to those able to complete the subscription process within the original deadline.

David Bird, managing director and chief executive officer of Dangote Petroleum Refinery and Petrochemicals, welcomed the regulatory approval for the revised timetable, saying the additional period would enable more investors across the continent to participate.

“We welcome the SEC’s approval of the extension, which will give more investors across Africa the opportunity to participate in the Offer. From the outset, our ambition has been to enable as many people as possible to participate in the IPO and share in DPRP’s future growth. The additional time will help us extend that opportunity to more investors across Africa.”

Bird’s statement places investor inclusion at the centre of the extension, reflecting the company’s ambition to widen ownership beyond its immediate domestic investor base.

The emphasis on participation across African markets also highlights the importance of distribution infrastructure in a transaction of this scale.

Under the revised schedule, applications will close on 27 October 2026, with the collation of returns scheduled for 3 November.

The company plans to submit the basis of allotment proposal and draft allotment announcement to the SEC on 10 November, followed by an application for the regulator’s no-objection on 17 November.

The company cautioned that dates could change without notice if key events do not proceed as anticipated, with adjustments to be made by the issuing houses in consultation with the issuer.
